These Terms of Use govern your use of the website and services offered by The Counting Firm ("we," "us," or "our"). By using this website, scheduling through Calendly, submitting information through our forms, or engaging our services, you agree to these terms.
The Counting Firm provides QuickBooks-based bookkeeping services, including monthly bookkeeping, job costing, reporting, cleanup, and related add-on services as described on this website. The specific scope of services for each client is defined in a separate engagement letter or service agreement.
Bookkeeping services provided by The Counting Firm do not constitute tax advice, tax preparation, tax filing, legal advice, or financial advisory services, unless separately and explicitly agreed to in writing. Clients should consult a licensed CPA, Enrolled Agent, or attorney for tax and legal matters.
Clients are responsible for providing accurate and timely information and documents, maintaining appropriate access credentials, and reviewing financial reports provided. The accuracy of our work depends on the accuracy and completeness of information provided by the client.
Fees for services are described on this website and confirmed in each client's engagement letter. We accept website payments as displayed at checkout or through our invoicing system. Billing cadence, payment due dates, and any late payment charges will be set out in the applicable engagement letter or invoice.
If a payment is declined, reversed, or becomes overdue, we may pause work until the account is brought current. Any third-party payment processing fees may be charged by the processor and are subject to its terms.
We use Calendly to allow clients and prospective clients to book consultations or meetings. By booking through Calendly, you agree to provide accurate contact information and to comply with the scheduling terms presented at booking.
You agree not to misuse the website, attempt unauthorized access, interfere with website functionality, or use the website for any unlawful purpose.
All content on this website, including text, graphics, logos, branding, and design, is owned by or licensed to us and is protected by intellectual property laws. You may not copy, reproduce, distribute, or modify our content without written permission.
Our website may use or link to third-party services, including Calendly, payment processors, QuickBooks, email providers, secure file-sharing tools, and analytics tools. We are not responsible for the content, security, or privacy practices of those third parties.
The website and services are provided "as is" and "as available." We make no warranties, express or implied, regarding the website or services, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, The Counting Firm's liability for any claim arising from our services is limited to the fees paid for the services giving rise to the claim. In no event will we be liable for indirect, incidental, special, consequential, or punitive damages. This section should be reviewed and customized by an attorney.
Either party may terminate a service engagement as described in the applicable engagement letter. We may also suspend or terminate website access or service delivery for misuse, nonpayment, or breach of these Terms. Any notice period and handoff process should be defined in the engagement letter.
These Terms are governed by the laws of the District of Columbia, without regard to conflict-of-law principles. Confirm jurisdiction with an attorney.
